Terms of Service

1. Acceptance of these Terms

By creating an account, accessing, or using TerraVenture (the “Service”) you agree to be bound by these Terms and by our Privacy Policy and Cookies Policy, which are incorporated here by reference. If you are using the Service on behalf of an entity, you represent that you are authorized to bind that entity to these Terms. If you do not agree, you must not use the Service.

2. Description of the Service

TerraVenture is a software-as-a-service platform that helps real-estate investors source, screen, analyze, and underwrite single-family residential properties. The Service includes property dossiers, baseline scoring, comparable-sales analysis, multi-scenario exit-strategy modeling, AI-assisted advisors and estimators, due-diligence task tracking, and related tools. We may add, modify, or remove features at any time.

3. Eligibility & accounts

You must be at least 18 years old and capable of forming a binding contract under applicable law. You must provide accurate registration information and keep it current. You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us immediately at admin@terraventureapp.com if you suspect unauthorized access.

4. Plans, trial, gems & billing

We currently offer the following subscription plans, plus a consumable in-app credit called “gems”:

• Free Trial — 48 hours of Bronze-equivalent access, no credit card required.
• Bronze (Screening) — US $29 / month.
• Silver (Strategy) — US $79 / month.
• Gold (Operation) — US $199 / month.

Each plan grants a monthly gem allowance and access to plan-gated features; gems are spent when you run gem-priced actions (for example, AI rehab estimation, AI capital advice, strategy evaluation, comparable-sales snapshots, market-stats refresh). Unused monthly gems do not roll over unless we explicitly say so. Additional gem packs may be purchased.

Trial expiry. Your trial expires automatically at the end of the 48-hour window. After expiry, paid plans are required to keep using the Service.

Subscription billing.Subscriptions renew automatically for successive periods until cancelled. You authorize us (and our payment processor) to charge your payment method on each renewal. Fees are non-refundable except where required by law or as stated in writing by us. We may change plan pricing, allowances, or gem costs with at least 14 days’ prior notice; continued use after the change date constitutes acceptance.

Gem packs. Gem-pack purchases are final and non-refundable. Gems have no cash value, are not transferable, and may not be redeemed for currency.

Taxes. Stated fees do not include taxes. You are responsible for all applicable sales, use, value-added, or similar taxes.

5. AI content & no investment advice

The Service uses large-language-model and other AI systems (including, currently, models provided by Anthropic) to generate analyses, recommendations, estimates, narratives, and task lists (collectively, “AI Outputs”). AI Outputs are produced probabilistically, may contain errors, omissions, or out-of-date information, and can reflect biases in the underlying data.

No investment, legal, tax, or professional advice. TerraVenture AI does not replace real estate agents, appraisers, inspectors, contractors, lenders, title companies, attorneys, CPAs, or tax advisors. We provide analysis tools and educational support; AI Outputs and every other element of the Service are provided for informational and decision-support purposes only. They are not investment advice, brokerage advice, legal advice, tax advice, accounting advice, appraisal, or a recommendation to buy, sell, finance, or renovate any property. Past performance is not indicative of future results. Investment in real estate involves risk. You are solely responsible for your investment decisions and for obtaining independent professional advice before acting.

You agree not to represent AI Outputs as professional advice from us, and not to rely on AI Outputs as the sole basis for any decision involving the purchase, financing, lease, renovation, or sale of real property.

6. Third-party data & integrations

The Service ingests, displays, and processes data from third-party providers (including, for example, listing data via Zillow / Redfin APIs accessed through RapidAPI, AI inference via Anthropic, payments via Stripe once enabled, and pricing references via The Home Depot). Such data is provided “as is” by those third parties and is subject to their own terms of service. We do not warrant the accuracy, completeness, or timeliness of third-party data and we are not responsible for third-party acts or omissions.

7. Acceptable use

You agree not to:

• Use the Service to violate any law or third-party right;
• Resell, sublicense, or commercially redistribute the Service or AI Outputs outside your own real-estate analysis workflow;
• Scrape, mirror, or systematically extract Service data using automated means except as expressly permitted by us in writing;
• Reverse-engineer, decompile, or attempt to derive source code of the Service, except as permitted by law;
• Upload malware, attempt unauthorized access to the Service, interfere with its operation, or evade plan or gem gating;
• Misrepresent your identity, your authority, or the source of AI Outputs;
• Use the Service in connection with discrimination prohibited by the Fair Housing Act or applicable state housing-discrimination law.

8. Intellectual property

As between you and us, TerraVenture (including the software, models, scoring engines, branding, UI, documentation, and our compilation of public data) is and remains the exclusive property of TerraVenture AI LLC and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms and your active plan.

9. Your content

You retain ownership of the information and content you submit to the Service (for example, property notes, scenario inputs, investor-profile fields, custom comparables, and uploaded attachments) (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and generate derivative analyses of Your Content solely to provide and improve the Service.

We may produce aggregated and de-identified statistics from Your Content and from Service-wide usage; we may use those statistics for any lawful purpose, including benchmarking, product research, and marketing, provided that the statistics cannot reasonably be used to identify you or any specific property you uploaded.

10. Confidentiality

Each party will protect the other’s confidential information using at least the same care it uses to protect its own similar information, and in no event less than a reasonable standard of care. This Section does not apply to information that is publicly available, independently developed, or rightfully received from a third party without confidentiality obligations.

11. Suspension and termination

You may cancel your subscription at any time from your account settings; cancellation stops future renewals but does not refund the current period. We may suspend or terminate your access if you breach these Terms, if continued provision creates a security or legal risk, or for non-payment. Upon termination, your license to use the Service ends; sections that by their nature should survive (including 8, 9, 12, 13, 14, 15, 17) will survive.

12. Disclaimers

THE SERVICE AND ALL AI OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, TERRAVENTURE AI LLC DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION. WE DO NOT WARRANT THAT THE SERVICE OR ANY AI OUTPUT WILL BE ERROR-FREE, SECURE, OR SUITABLE FOR YOUR PURPOSES.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITY, OR LOST DATA, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU ACTUALLY PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

14. Indemnification

You will defend, indemnify, and hold harmless TerraVenture AI LLC and its officers, directors, employees, and agents from and against any third-party claim arising out of (a) your breach of these Terms; (b) your violation of any law or third-party right (including fair-housing and consumer-protection laws); or (c) your use of, or any decision made in reliance on, the Service or any AI Output.

15. Governing law & disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service that is not resolved informally within 30 days will be brought exclusively in the state or federal courts located in Orange County, Florida, and each party irrevocably submits to the personal jurisdiction of those courts and waives any objection based on inconvenient forum.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced via in-product notice or email at least 14 days before they take effect, and we will display a new acceptance prompt the next time you sign in. Continued use after the effective date constitutes acceptance.

17. Miscellaneous

These Terms, together with the Privacy Policy and any order form or plan-specific terms, constitute the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the remaining provisions will remain in effect. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets; you may not assign without our prior written consent. No waiver of any breach will be deemed a waiver of any other breach.
